By uploading User Content, you grant LignumAI a limited, non-exclusive, non-transferable license to:
- Process, analyze, interpret, and extract structured data
- Generate AI-based outputs
- Provide and improve the Services
We do not use client files to train our models unless you explicitly opt in.
2.3 Confidentiality
All User Content is treated as confidential. We implement industry-standard security measures and do not disclose your content except:
- With your written consent
- To provide the Services
- As required by law or court order
3. Prohibited Uses
You agree not to use LignumAI to:
- Upload unlawful, harmful, or infringing content
- Violate intellectual property or privacy rights
- Reverse-engineer, decompile, or attempt to extract source code
- Interfere with the platform’s security, performance, or operations
- Use output for unlawful construction, engineering, or architectural purposes
- Train competing AI systems without prior written consent
We reserve the right to suspend or terminate accounts engaged in prohibited activity.
4. AI Output & Accuracy Disclaimer
LignumAI provides AI-generated interpretations, summaries, extractions, and recommendations based on the inputs provided.
You acknowledge and agree that:
- AI output may contain errors, omissions, or inaccuracies
- AI-generated information does not replace professional engineering, architectural, design, or legal judgment
- You are solely responsible for verifying the accuracy of any output
- LignumAI is not liable for decisions or actions taken based on the output
Our Services are provided “as is” and “as available”.
5. Intellectual Property
5.1 Ownership
All LignumAI technology, software, models, designs, branding, and content are the exclusive property of LignumAI.
You may not:
- Copy, reproduce, or redistribute platform components
- Use our branding without permission
- Claim ownership of AI-generated outputs if they infringe third-party rights
5.2 User Content Ownership
You retain full ownership of all User Content you upload.
6. Payment & Billing
For paid plans, subscriptions, or enterprise services, fees are billed according to the pricing agreed at the time of purchase.
You agree to:
- Provide accurate billing and payment information
- Allow recurring charges where applicable
- Pay all fees associated with your selected plan
Late or failed payments may result in suspension or limitation of your account.
7. Termination
You may stop using our Services at any time.
We may suspend or terminate your account if:

- You engage in abusive, unlawful, or harmful behavior
- We are required to do so by law or regulatory authorities
Upon termination:
- You retain ownership of your User Content
- We may retain encrypted backups for legal, regulatory, or security purposes
- Your access to the platform will cease immediately
8. Limitation of Liability
To the fullest extent permitted by law, LignumAI is not liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Errors or inaccuracies in AI-generated output
- Unauthorized access to your account due to your actions
- Damages resulting from use or inability to use the Services
Our total liability for any claim relating to the Services is limited to the amount you paid to LignumAI in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold LignumAI, its affiliates, officers, employees, and agents harmless from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:
- Your misuse of the Services
- Your violation of these Terms

LignumAI is not responsible for:
- Failures or downtime caused by third-party services
- The content of external websites or platforms
- Third-party privacy, security, or data practices

We may update, enhance, discontinue, or modify any part of the Services at any time, including features, functionality, and pricing.
We may also update these Terms from time to time. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of Delaware, United States, without regard to conflict of law principles.
